JOB POSTING

The Anguilla Electricity Company Limited invites applications from suitably qualified candidates to fill the position of Corporate Secretary in the Administration Department.

Main Functions, Duties & Responsibilities of the position include:

  • Perform the duties of Company Secretary in accordance with institutional, regulatory, and legal requirements.
  • Liaise with the Board Chair to establish and administer the Board’s governance framework and provide advice on governance requirements and issues.
  • Liaise with consultants and legal counsel on corporate issues as required to procure appropriate advice and guidance for the Company’s Board of Directors.
  • Provide legal and strategic advice to the Board as required; ensuring (within legal parameters) the Board and its sub-committees have information and analysis they need to support the Directors in meeting their fiduciary responsibilities.
  • Coordinate and organize Board, Board Sub-committees, and Shareholder meetings.
  • Oversee the preparation and distribution of the packages prior to every Board, Sub-committee, and Shareholders meetings.
  • Record minutes of the Board, Board Sub-committees, and Shareholders meetings and ensure the timely preparation and circulation of minutes related to these meetings.
  • Be responsible for liaising with the CEO regarding Board matters to be followed up and any necessary actions to be taken internally or externally.

  • Prepare written shareholders’ and directors’ resolutions and maintain custody and control over all corporate seals, statutory minute books and other corporate documents.
  • Liaise with Eastern Caribbean Securities Exchange personnel

regarding Shareholders’ issues.

  • Liaise with the Eastern Caribbean Regulatory Commission where necessary.
  • Manage all Shareholder matters, maintain Shareholder records and respond to queries.
  • Prepare all correspondence for the Board/Sub-committees (including responses to enquiries or complaints directed to the Board/Sub- committees).
  • Plan and coordinate the Company’s Annual General Meeting.
  • Coordinate the Director nomination process.
  • Be responsible for the orderly induction, transition and orientation of new Directors and on-going board education.
  • Perform other related job duties as required by the job function and assigned.

Qualifications & Experience:

    • Admitted as a barrister or solicitor of the Court OR is a member in good standing of a recognised accounting body approved by the Registrar of the Anguilla Commercial Registry
    • A minimum of three (3) years’ experience as a Corporate Secretary
    • A relevant recognized professional designation like Institute of Chartered Secretaries and Administrators (ICSA) Accreditation or Caribbean Governance Training Institute Chartered Corporate Secretary Certification (C.C. Sec) Accreditation or an equivalent would be an asset
    • Eastern Caribbean Securities Exchange (ECSE) Directors’

Accreditation would also be an asset
