NOTICE REGARDING THE ANNUAL GENERAL MEETING OF SHAREHOLDERS

To: All Shareholders of the Anguilla Electricity Company Limited

As the global COVID-19 pandemic continues to affect daily life and business in Anguilla and around the world, we want our shareholders to know that we are concerned about your well-being and safety, and we understand your desire to be kept informed. ANGLEC is working to convene its annual general meeting of shareholders (“AGM”) by no later than 26 May 2020.

We are currently assessing the options for convening the AGM in a manner that minimizes the health risks to you and ensures that all shareholders can participate.

Court Proceedings and Regulatory Measures As you may be aware, the Government of Anguilla brought a claim against ANGLEC. Following the delivery of the judgment, ANGLEC sought urgent clarification from the Court of Appeal about how to convene its AGM during the COVID-19 pandemic, in compliance with the Public Health (Temporary Restrictions on Movement of People and Public Gatherings) Regulations, 2020 under the Public Health Act (RSA c. P125), as amended (available online); and an Order from the High Court of Justice (Anguilla Circuit) delivered on 8 April 2020.

On 22 April 2020, the Court of Appeal clarified that ANGLEC must convene its AGM by no later than 26 May 2020. A copy of the Court of Appeal Order is attached. Virtual AGM ANGLEC is considering options to enable shareholders to attend and participate in the AGM through an online or virtual platform. We ask that all shareholders provide us with a current e-mail address so that we can contact you about the AGM. Please provide us with your email address as soon as you receive this Notice by sending it to shareholders@anglec.com. We expect to provide further information to shareholders by post and email as soon as possible.
